We do not guarantee specific sales results, rankings, or revenue outcomes. Amazon marketplace performance is influenced by numerous factors beyond our control, including Amazon's own policies, algorithms, market conditions, and competitor activity.

Client Obligations

As a client, you agree to:

Provide accurate, current, and complete information necessary for us to deliver our services.
Grant appropriate access to your Amazon Seller Central account and related platforms as required for service delivery.
Respond to communications and requests for approvals in a timely manner.
Comply with Amazon's Terms of Service, policies, and guidelines at all times.
Ensure that all products listed and sold through your Amazon account comply with applicable laws and regulations.
Not engage in any activity that would jeopardize your Amazon account standing or violate Amazon's policies.

Fees and Payment

Service fees are outlined in your individual service agreement or proposal. Unless otherwise stated, fees are due as specified in the agreement. Late payments may be subject to interest charges or suspension of services. All fees are non-refundable unless otherwise specified in your service agreement.

We reserve the right to adjust our fees upon reasonable notice. Any fee changes will be communicated in writing and will not apply to prepaid service periods.

Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Seller Vine or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our express written consent.

Work products created specifically for your account (such as listing copy, images, and advertising strategies) are owned by you upon full payment. General methodologies, tools, frameworks, and processes developed by Seller Vine remain our intellectual property.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, financial data, customer information, product details, advertising performance data, and trade secrets. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law.

Limitation of Liability

To the fullest extent permitted by law, Seller Vine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with our services, regardless of the theory of liability.

Our total aggregate liability for any claims arising under these Terms or related to our services shall not exceed the total fees paid by you to Seller Vine in the twelve (12) months preceding the claim. We are not responsible for any actions taken by Amazon, including account suspensions, listing removals, or policy changes that may affect your business.

Termination

Either party may terminate the service engagement in accordance with the terms specified in the applicable service agreement. Upon termination, we will cease all services and revoke access to any shared platforms or tools. You remain responsible for any fees incurred prior to the effective date of termination.

We reserve the right to terminate or suspend services immediately, without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or breached Amazon's Terms of Service in a manner that poses risk to our business.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Seller Vine operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration or the appropriate courts of competent jurisdiction.
